Special Stockholder Meeting Set for July 16, 2009

Special Committee of the Sun Board of Directors to Vote on Merger Agreement with Oracle

Sun stockholders are scheduled to meet on July 16, 2009, to vote on the adoption of the merger agreement between Sun and Oracle. The proposal to adopt the merger agreement must be approved by a majority of the outstanding shares of Sun’s common stock. Back in April, the company’s Board of Directors unanimously approved to sell Sun to Oracle for $9.50 per share in cash for common stock. The value of the deal breaks down to approximately $7.4 billion, or $5.6 billion net of Sun’s cash and debt.

Sun and United Nations Group Unite to Drive Open Technologies Worldwide

Will Jointly Promote OpenOffice.org, Open Document Format (ODF)

Sun and the United Nations Educational, Scientific and Cultural Organization (UNESCO) announced they will be working together to promote the use of open source technologies as a low-cost way to improve education with universal access to information and knowledge. Under a collaborative agreement, the two also plan on developing knowledge societies in emerging and developing economies and creating a Center of Excellence for Adoption of Open Technologies that promotes adoption of OpenOffice.org and Open Document Format Tools.

At the JavaOne Conference this coming June, Sun will be announcing details on a Java project known as Vector. Sun President and CEO Jonathan Schwartz decided to tantalize readers of his blog with a bit about the project, which he hints will more than likely be officially named the Java Store.

After the Acquisition, Oracle will not exit the hardware business

Oracle has posted the transcription of an interview of Larry Ellison to their web site. In that interview, Larry makes a number of important statements for existing Sun customers, partners, and employees. He stately clearly that, “we are definitely not going to exit the hardware business. While most hardware businesses are low-margin, companies like Apple and Cisco enjoy very high-margins because they do a good job of designing their hardware and software to work together.”

Sun Posts Third Quarter Fiscal 2009 Results

Earnings Report Mixed with Losses Per Share along with Billings Growth, Positive Cash Flow

Although Sun’s third quarter of fiscal 2009 showed a decline in revenues, net loss on a GAAP and non GAAP basis, the company grew billings nearly 4 percent year-over-year in key growth categories and generated cash flow from operations of $178 million, which is the third consecutive quarter of positive cash flow from operations in fiscal 2009.
